(RIVERWOODS, ILL., July 26, 2006) – Jim Hamilton, JD, LLM, securities law principal analyst for CCH and a leading author on securities law, is available for comment and analysis related to today’s long-awaited Securities and Exchange Commission (SEC) rules on executive compensation and disclosure.

Hamilton can explain and comment on the rules, including:

  • Specific provisions, including Compensation Discussion & Analysis and Guidance on Perks;
  •
  • Likely practical implications for companies;
  •
  • How rules are expected to safeguard investors.

“With this ruling, the SEC intends to provide investors with a clear view of the compensation information they need to understand how corporate resources are being used,” said Hamilton. “How effective companies will be at presenting this information and whether or not investors will like what they see, is still to be hotly debated.”

Hamilton has been tracking, analyzing and explaining securities law and regulation for nearly 30 years as an analyst for CCH. He has written and spoken extensively on federal securities law and has been cited as an authority by a federal court. His analysis of the Sarbanes-Oxley Act, the Sarbanes-Oxley Manual: A Handbook for the Act and SEC Rules, is considered a definitive explanation of the Act. Other works by Hamilton include the popular guidebook Responsibilities of Corporate Officers and Directors under Federal Securities Law, the Guide to Internal Controls and Informal Corporate Disclosure under Federal Securities Law.

In addition to his analysis for CCH, Hamilton’s blog Jim Hamilton’s World of Securities (www.jimhamiltonblog.blogspot.com) covers every level of securities regulation as it relates to public companies as well as serves as a forum to discuss Sarbanes-Oxley issues. Hamilton received a JD from Stetson University College of Law and an LLM from New York University School of Law.
